“This is a landmark move for what, is now, a truly international publishing company - we are extremely thankful to our financing partners MML Ireland and AIB - negotiating a deal across five continents involving different time zones, currencies and legal systems, was a complex task. The skills available to us at these significant Irish companies enabled us to get it over the line.”

Seamus McGuiness, CEO, Prim-Ed R.I.C.

Prim-Ed R.I.C.

Complex cross border MBO providing for the full buyout of the Australian shareholder interests by the Irish CEO.

The business

R.I.C. Publications is an international educational publisher with a strong and long standing reputation of suppling teacher resources and student workbooks for primary schools in English speaking markets.

The deal

The founding Australian shareholders had built a strong internationally diversified business with well-regarded product deeply embedded with teachers and in schools. The Irish CEO saw an opportunity to grow the business further by leveraging its non-curriculum based back catalogue of product and presence in international English speaking markets. MML Ireland’s tailored approach enabled us to provide a funding solution which achieved a number of objectives. From MML Ireland’s perspective, the strategy of developing teaching resources and student workbooks for use across all core markets had been validated over many years and the royalty income provided a very strong cash underpin for the business. MML Ireland structured its investment, investing for a minority stake with management rolling all of their value.
